1 Introduction

1.1 These Terms of Use (these “Terms“) govern your access and use of DanceLib website accessible via www.dancelib.com and subsites (hereinafter: the “DanceLib Website”) and the user platform service that requires login and is accessible via DanceLib Website (hereinafter: the “DanceLib Platform“) through which you can access personalized library of dance videos, other content and materials that we make available, and use the available functions of DanceLib Platform in accordance with these Terms. These Terms also apply to all music, videos, other content, materials and applications that are available through DanceLibWebsite and/or DanceLib Platform (hereinafter: the “Content”). The DanceLibWebsite, DanceLib Platform and Content are herein also collectively referred to as the “DanceLib Service”.

1.2 Please read these Terms carefully. By signing up for, or otherwise using, any aspect of DanceLib Service, you agree to these Terms. If you do not agree to these Terms, then you must not use the DanceLib Service or access any Content.

1.3 These Terms are between you and DanceLib SA, Route de Sous-Moulin 39, c/o Dance Event Production Sàrl, 1226 Thônex, Genève, Switzerland (in these Terms also addressed as “DanceLib”, “us” and referred to using “our”, “ours” and other adequate pronouns).

1.4 Use of the DanceLib Service is subject to the DanceLib Privacy Policy, DanceLib User Guidelines and additional terms and conditions presented by DanceLib, all of which are made part of these Terms by this reference. Reference to this Terms also includes references to any such additional terms and conditions, policies and guidelines.

2 Age and eligibility requirements

2.1 In order to accept these Terms and use the DanceLib Service, you must be at least 18 years of age. 

2.2 If you are a minor in your country, you must be in any case at least 13 years of age, have parental or guardian consent or approval to accept these Terms and use the DanceLib Service, and have the power to enter a binding contract with us and not be barred from doing so under any applicable laws. In case you do not have the power to enter a binding contract with us in your home country, your parent or guardian will have to enter into these Terms on your behalf. 

2.3 Additionally, to use the DanceLib Service and access any Content, you must reside in a country where DanceLib Services are available.

3 DanceLib Account

3.1 You may need to create a DanceLib user account (herein also as: “DanceLib Account”) by signing up via the DanceLib Website to use all or part of the DanceLib Service, particularly, but not necessarily limited to, the DanceLibPlatform. 

3.2 Your username, email and password are for your personal use only. You understand that you are responsible for all use (including any unauthorized use) of your username, email and password. Notify our Customer Service team immediately if your username, email or password is lost or stolen, or if you believe there has been unauthorized access to your DanceLib Account.

3.3 Please note that your username also functions as a public handle to enable interaction with other users within the current and future functionalities of the website. This means that your username may be visible to other users.

3.3 You agree to provide accurate, current, and complete information during the DanceLib Account creation process and to promptly update such information to keep it accurate, current, and complete.

3.4 DanceLib may reclaim, or require you to change, your username for any reason.

4 DanceLib Platform

4.1 DanceLib Platform, as a core part of the DanceLib Service, is accessible via the DanceLib Website. DanceLib Platform requires a DanceLib Account to login and enable access to a digital library of available professionally shot dance videos, and access to the organization of the available videos within the available functionalities by the user, such as with folders and playlists to arrange user’s favourite content. Please review DanceLib website regarding the currently available functionalities.

4.2 In the videos or other Content, the artists demonstrate dance moves, from basic movements to innovative progressions from which you can draw inspiration. The videos or other Content can be accessed as a source of inspiration by partner dancers and dance professionals alike. DanceLib Platform is not a dance studio and does not offer advice, classes, dance programs, detailed step-by-step video instructions or other services.

5 Use of DanceLib Service

5.1 Service Access

5.1.1 Subject to your compliance with these Terms, by signing up for DanceLibService or otherwise using DanceLib Service, we grant to you limited, non-exclusive, revocable permission to make Personal Use (as determined herein) of the DanceLib Service, including through any applications made available by DanceLib or its distributors (collectively, “Service Access”). 

5.1.2 The extent of Service Access shall reflect your active plans and licences accordingly if such licences are required in line with these Terms. This Service Access shall remain in effect unless and until terminated by you or DanceLib. 

5.1.3 Other than the Service Access, you do not obtain any other licences, ownership, intellectual property or other rights of any nature regarding the DanceLib Service or the Content. 

5.1.4 You agree to abide by the DanceLib User Guidelines and not to use the DanceLib Service, the Content, or any part thereof in any manner not expressly permitted by these Terms. The Service Access to DanceLibService and Content is intended for personal use as determined and in line with these terms (“Personal Use”). 

5.1.5 Under Personal Use, you are allowed to use the inspiration from the Content for private purposes or personally as a professional, even if it is related to your commercial or other professional activities, as long as you comply with these Terms and DanceLib User Guidelines. Nevertheless, under the Personal Use, you are not allowed to recreate, replicate, mimic videos or other Content or perform similar activities to create new content (“Content Replication”) for distribution to third persons for commercial or non-commercial purposes {without attribution of DanceLib} (such as, but not limited to, present Content Replication as yours). In any case, regardless of attribution and abidance by these Terms and User Guidelines, Content Replication is not allowed for creating any content library involving Content Replication that is made available to third persons or for similar purposes, for commercial or non-commercial purposes. 

5.1.6 Any use of DanceLib Service or any parts thereof contrary to these Terms, herein incorporated other policies and guidelines, including User Guidelines, or contrary to applicable laws, rules or regulations, is prohibited and restricted (“Restricted Use”). 

5.1.7 We reserve the right to suspend, terminate your access and/or prohibit your future access to the DanceLib Service or any part thereof at our discretion, without notice, if you use DanceLib Service in the manner that falls within Restricted Use, otherwise violates these Terms, or if you engage in any activity that is harmful to DanceLib, DanceLib Service or other users. In the event of such suspension or termination, you are not entitled to any refunds. Suspension or termination of your DanceLib Account does not anyhow exclude our further measures or our seeking further remedy in accordance with these Terms and the law, including, but not limited to, seeking relief for damages or specific performance.

6 DanceLib Service Access Options

6.1 We provide various DanceLib Service options. Certain DanceLib Service options are provided free of charge, while other options require paid licence to be accessed. We may also offer special promotional options.

6.2 By signing up and creating a DanceLib Account, you will be able to sign into the DanceLib Platform and access Content available under the Free Access terms. You can extend your access by opting for Premium Access as described below, either at signing up or later.

6.3 Free Access

6.3.1 By creating a DanceLib Account, we will enable you the access to the free features of DanceLib Service, particularly the DanceLib Platform, by signing in with your DanceLib Account. The free access is provided under the terms set out herein (“Free Access”).

6.3.2 The Content, other materials, features or functionalities available on the DanceLib Platform or DanceLib Service under the Free Access are subject to our discretion (such Content, materials, features or functionalities available under the Free Access option are herein also referred to as the “Free Feature(s)”). We may permanently or temporarily add, modify, replace, limit or remove any Free Feature at any time without notice. Nothing in these Terms can be understood that DanceLib guarantees free access to any specific Free Features of DanceLib Platform under the Free Access option. We may also stop providing Free Access option at any time without notice.

6.4 Premium Access

6.4.1 To access premium features that are not made available under the Free Access, you need an access to a suitable paid plan. Various paid plans are available. You can find information on available paid plans on DanceLib Website under the pricing section (hereinafter: “Paid Plan(s)”).

6.4.2 A Paid Plan enables you access to certain premium Content, other materials or functionalities, as described under each Paid Plan (such premium Content, other materials or functionalities, available under and in line with an applicable Paid Plan, hereinafter referred to as: “Paid Features(s)”). 

6.4.3 To access a particular Paid Plan, a suitable monthly or annual licence is required. You can purchase the relevant license(s) for the Paid Plans from our reseller, with whom you will independently enter into a purchase contract. Terms and Conditions of the reseller may apply and may generally include automatic licence renewals. Please read any such terms and licence details carefully before the purchase. The prices of licences may change from time to time. If you have a renewing licence, such changes will not affect an effective period at the time of the change but shall affect the following periods when the respective licence is renewed. You will receive a prior notice of such change so that you can choose not to renew the licence in question, prior to the change in price taking effect. You can choose not to purchase or not to renew a licence any time, but you do not have, and waive, any other claim against us and our reseller in respect to licence price changes. 

6.4.4 DanceLib does not sell licences for Paid Plans directly or manage payments for licences. On DanceLib Website or other parts of DanceLibService, you can find links to our reseller where you can purchase a suitable licence.

6.4.5 The prices indicated on DanceLib Website or other parts of DanceLibService for various plans are for informative purposes only. Without prejudice to the afore-mentioned, for customers from most countries, the prices generally correspond to final prices, including VAT, sales tax or other taxes. However, due to specifics of come countries’, regional or local requirements, for customers from certain countries or regions the VAT, sales tax or other taxes that may be applicable, may be charged additionally. Also, if you decide to pay in an available currency other than EURO, prices may change slightly as we and our reseller need to consider exchange and similar processing fees. Thus, the prices for Paid Plans displayed on DanceLib Website are only indicative and DanceLib does not guarantee that they match the final price of you will need to pay to the reseller for a particular licence, nor does DanceLib guarantee that any or all licences are available for users from all countries. Please check the final price and availability with the reseller before you decide to purchase a licence to unlock a Paid Plan. Our reseller will always present you the final price for you before the purchase.

6.4.6 You agree that when you purchase a licence for a Paid Plan, our reseller automatically transmits to us the duration and other relevant information on the purchased licence, which may also include your personal data that we need to enable you the access to the relevant Paid Plan. When we receive such information, the relevant licence of yours shall be considered redeemed, and we will record the information about your licence with your DanceLib Account. As soon we receive such information, and the licence is recorded, we will unlock you the access to the relevant Paid Plan for the relevant period corresponding to the purchased licence.

6.4.7 Your relevant Paid Plan shall be unlocked as long as you have the active relevant licence that is required for a particular Paid Plan. When you have purchased a licence for a Paid Plan from our reseller, you also agree that our reseller automatically transmits to us information on any renewal, change, extension, upgrade, downgrade, expiration, termination of a licence or similar events related to your licence(s), which may also include your personal data that we need to verify and administrate your rights of access to the relevant Paid Plan. When we receive such information, we will record the information and effectuate the changes as appropriate with your DanceLib Account (for example, to renew, extend, upgrade, downgrade or terminate your Paid Plan or other applicable action). The rules that apply to changes of Paid Plans are set out in section 6.5 below.

6.4.8 DanceLib does not offer a money back guarantee for any licences purchased from our reseller. If you are not yet sure whether DanceLibService is suitable for you, you are invited to first sign up for the Free Access where you can explore many features before you decide to upgrade to a Paid Plan. Subject to these Terms, you can use the Free Access as long as you want, there are no time limitations.

6.4.9 In case your licence required for a relevant Paid Plan has expired, was terminated, or otherwise ceased, your access will be limited to reflect the status of the remaining active licences for Paid Plans. If all your licences for Paid Plans have expired, were terminated, or otherwise ceased, your access will be changed to Free Access.

6.4.10 DanceLib reserves the right to temporarily or permanently add, modify, rename, replace, limit or remove any Paid Plan or any Paid Feature(s) regarding any Paid Plan at any time. Nothing in these Terms can be understood that DanceLib guarantees permanent access to any specific Paid Feature(s) or a specific Paid Plan. If in case of removal or limitation of any Paid Feature or Paid Plan, for access to which you have purchased paid licence from our reseller, you decide not to continue using DanceLib Service with a particular Paid Plan, you can terminate the relevant Paid Plan of yours by notifying us. In such case, you will be refunded the prorated portion of the licence price for the period after such removal or limitation. A renaming, or upgrade at no additional cost, of a Paid Feature or a Paid Plan, does not constitute a removal or limitation of a Paid Feature or a Paid Plan, as applicable. 

6.5 Paid Plan Changes Policy

6.5.1. This section 6.5 explains the rules for changes of Paid Plans. You can add and remove Paid Plan(s) or upgrade and downgrade Paid Plan(s), or change billing periods, according to the rules set out in this section. When you make such changes, you are only entitled to a refund if and to the extent set out below.

6.5.2 Changing billing period: Billing period for Paid Plan licenses purchased from our reseller can be changed from monthly to yearly, as well as from yearly to monthly. In this case, the change will take effect from the start of the next billing period. Your active billing period will not be affected. Exceptions apply for some instances of the Plan Upgrading as described in section 6.5.4.

6.5.3 Changes to dance type access within an existing Paid Plan of yours: If you are subscribed to a Paid Plan that allows Premium Access to a limited number of dance type(s) or access to specific dance type(s), you cannot make changes of dance type(s) access(es) during your billing period. Upon request via the designated request form on DanceLib Platform, you can change dance type(s) within limits of your license, but such change(s) will take effect with the start of the next billing period. Your active billing period will not be affected.

6.5.4 Upgrading Paid Plans: By “Plan Upgrading” it is understood that you transition to a Paid Plan that exceeds your current Paid Plan or stack of Paid Plans in a way that your previously held Paid Plan(s)’ features are consummated in a new Paid Plan.

  • upgrading plans (without changing your billing period): Your Plan Upgrading will be applied at the time of your purchase. Your billing period will not change and for the active billing period, you will be charged the pro-rata difference in price.
  • upgrading plans (with change of billing period from monthly to annual): Your Plan Upgrading will be applied at the time of your purchase. Your billing period will be changed to yearly and considered started at the outset of your existing (monthly) billing period. You will be charged the pro-rata difference in price.
  • upgrading plans (with change of billing periods from annual to monthly): The Premium Features that reflect your Plan Upgrading will be applied at the time of your purchase. However, the billing period will not change instantly – it will remain the same (yearly) until the expiry of your currently active yearly billing period. For such remaining active yearly period, you will be charged the pro rata difference between the yearly price of your existing Paid Plan and the yearly price of your upgraded Paid Plan. After expiry of your active yearly period, your billing period will change to monthly and continue as a monthly billing period.
  • If you are entitled to a refund regarding your Plan Upgrading, and you decide to exercise your right to a refund, you will be refunded the amount (or pro-rata amount, as applicable under these Terms of Use) that you paid at Plan Upgrading. In this case, your Paid Plan(s) will be changed back to the previous status in effect prior to the Plan Upgrading.

6.5.5 Downgrading plans: By “Plan Downgrading” it is understood that you transition to a Paid Plan that does not wholly consummate the features of your previously held Paid Plan’s features. In case of Plan Downgrading, the change will take effect with the start of the new billing period. If you decide to downgrade a Paid Plan during the billing period, you are not entitled to a refund, but you will keep access to your existing Paid Plan(s) until the end of your billing period.

6.5.6 Removing a plan: You can cancel a Paid Plan so that it will not renew at the end of your current billing period. In case you cancel a Paid Plan, you will keep access to it until the end of the billing period, however you are not entitled to a refund.

6.6 Promotional options: From time to time, we may offer additional temporary, trial, or other promotional access options for DanceLib Service or parts thereof (herein as “Promotions”). For Promotions, special promotional offer terms may apply.

7 Customer Support, Information, Questions and Complaints

7.1 If you have any questions concerning the DanceLib Service or these Terms (including any additional terms, policies or guidelines incorporated herein), or if you need additional information of send us a notification or other message, please contact DanceLib Customer Service by the mailing address support@dancelib.com.

8 Content and Intellectual Property

8.1 The DanceLib Service and the Content are the property of DanceLib or DanceLib’s licensors. All DanceLib trademarks, service marks, trade names, logos, domain names, and any other features of the DanceLib brand are the sole property of DanceLib or its licensors. These Terms do not grant you any rights to use any DanceLib brand features whether for commercial or non-commercial use.

8.2 Content 

8.2.1 DanceLib respects intellectual property rights and expects you to do the same. 

8.2.2 The videos, other Content and materials available on our platform are provided by content creators, partners, or us. All content is protected by copyright and other intellectual property laws. DanceLib reserves all intellectual property and other rights to the Content or other materials shown or made available on DanceLib Service. By signing up, or otherwise using DanceLib Service, you do not acquire any intellectual property rights to such Content or other materials.

8.3 Copyright infringement notification

8.3.1 If you are a copyright holder, or their agent, and you believe that any Content or other material available via the DanceLib Service infringes copyright, please contact us:

8.3.2 Please include as much detail as possible to allow us to identify the facts or circumstances in your notification of alleged copyright infringement.

9 Representations and Warranty disclaimers

9.1 Representations and Warranties regarding DanceLib Service 

9.1.1 The DanceLib Service, the Content and other materials, are provided “as is” and “as available,” without any warranties of any kind, whether express, implied, or statutory, regarding the DanceLib Service’s or Content’s availability, reliability, accuracy, device compatibility or fitness for a particular purpose or person. 

9.1.2 DanceLib reserves the right to change our DanceLib Service offerings, features, Content and their availability from time to time, without notice or liability to you. DanceLib has no obligation to provide any specific content through the DanceLib Service, and DanceLib may remove any particular Content without notice.

9.1.3 We use reasonable efforts to keep the DanceLib Service operational and to provide you with a personalized, immersive experience. However, we do not guarantee 100% uptime of DanceLib Service and you agree that any temporary interruptions, such as due to technical difficulties, maintenance, testing, or updates shall not amount to a violation of these Terms by DanceLib.

9.1.4 DanceLib reserves the right to terminate agreement upon these Terms and discontinue the DanceLib Service or any parts thereof. In case of permanent discontinuation of DanceLib Service or any parts thereof for access to which you have purchased paid licence from our reseller, DanceLib will make sure that you will be refunded the prorated portion of the licence price for the period after such discontinuation. 

9.1.5 You agree that your sole and exclusive remedy for any issues or dissatisfaction with the DanceLib Service is to stop using the DanceLibService and uninstall any applications that enable access DanceLibService.

9.2 Facilities and Equipment, Personal Considerations

9.2.1 In these Terms, the term “Facilities and Equipment” refers collectively to the environment-related aspects (including but not limited to flooring, space, lighting, and any other physical conditions) and equipment-related aspects (including but not limited to dance shoes, clothing, and any other items) presented or referenced in the videos or other Content via the DanceLib Service.

9.2.2 No warranty of fitness for purpose: DanceLib provides access to Content solely for informational and instructional purposes. You acknowledge and agree that the Facilities and Equipment presented in the Content are provided on an “as-is” basis, without any warranty or representation of fitness for any particular purpose. DanceLib does not guarantee the suitability, safety, or appropriateness of the Facilities and Equipment for any specific use or activity, including the activity presented in the Content. You understand and accept that the use of the Facilities and Equipment may carry inherent risks and you assume all such risks and any consequences. 

9.2.3 Requirement for self-assessment: You are solely responsible for assessing the suitability of Facilities and Equipment for your individual circumstances. Therefore, when using inspiration from the videos or other Content, it is your responsibility to assess whether your own facilities or equipment that you use with your activities is fit for purpose and for your individual circumstances (regardless or not if they match or are similar to Facilities and Equipment presented in the Content). It is also your sole responsibility to assess your abilities, experience, prior training, health, your physical or other conditions or limitations, or have it accessed by an adequate professional, before engaging in any activity. DanceLib does not assume any liability regarding your activities that you undertake by using inspiration from the Content.

10 Limitation of liability

10.1 To the fullest extent permitted by the law, DanceLib shall not bear any liability from or in connection with DanceLib Service. In any case, DanceLib shall be liable only to you and not anybody else and DanceLib shall only be liable for direct damages caused by DanceLib, and provided that they are caused by gross negligence or intentionally. DanceLib shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

10.2 Without hindering other provision of these Terms on DanceLib’s limitation of liability, to the fullest extent permitted by law, we shall not be liable for any damages, whether incurred directly or indirectly:

10.2.1 for any loss of profits, savings, or revenues;

10.2.2 for any damages as a result of data inaccessibility or loss;

10.2.3 for any damages related to internet connection or other DanceLib Service outages;

10.2.4 for any damages in connection with government or authorities’ actions, actions of third parties, or events reasonably beyond our control;

10.2.5 for any damage caused by third parties;

10.2.6 for any damages in connection with your use of or reliance on Facilities or Equipment.

10.3 No advice or information whether oral or in writing obtained by you from DanceLib shall create any warranty or liability on behalf of DanceLib.

10.4 The DanceLib’s limitations and waivers of liability provided in these Terms shall extend to DanceLib’s officers, shareholders, employees, agents, directors, subsidiaries, affiliates, successors, assigns or suppliers.

10.5 In any case, and to be enforced to the fullest extent permitted by the law, any DanceLib aggregated liability towards you for any claims shall be limited to no more than the aggregate amount of payments you have incurred to access DanceLib Service or any parts thereof (including any payments you have made to our resellers to obtain licences to access any of DanceLib Paid Plans).

10.6 DanceLib does not assume any liability resulting from or in connection with your breach of these Terms or herein referred to policies or guidelines, or due to your incorrect, incomplete, or non-updated information provided by you, nor in connection with your failure to adequately secure or prevent misuse of your information required to access and use the DanceLib Service.

10.7 Third-party applications or services: DanceLib makes no representation regarding, nor does it warrant or assume any responsibility for, any third-party applications (or the content thereof), user content or information, devices or any product or service advertised, promoted or offered by a third party on or through the DanceLib Service or any hyperlinked website, and DanceLib is not responsible for any transactions between you and any third-party providers of the foregoing. 

11 Indemnification

11.1 You agree to indemnify and hold DanceLib harmless from and against all damages, losses, and expenses of any kind (including reasonable attorneys’ fees and costs) arising out of or related to: (1) your breach of any of these Terms (including any additional DanceLib terms, policies and guidelines incorporated herein); (2) any activity in which you engage on, through, referring to, or in connection with the DanceLib Service (including, but not limited to, your use of or reliance on Facilities and Equipment); and (3) your violation of any law or the rights of a third party. This indemnification obligation will survive the termination or expiration of these Terms.

12 Changes

12.1 We may, from time to time, make changes to these Terms (including any additional DanceLib terms, policies and guidelines incorporated by reference herein), by notifying you of such changes by reasonable means before they take effect, including by posting the revised Terms on the applicable DanceLibService. 

12.2 Such modifications will not apply to any dispute between you and us arising prior to the date on which we published the revised Terms or other DanceLibterms, policies or guidelines incorporating such modifications. 

12.3 Your use of the DanceLib Service following any changes to these Terms will constitute your acceptance of those changes. 

12.4 The effective date indicated at the top of this document is the date of the last update of these Terms.

12.5 If you do not wish to continue using the DanceLib Service following the updated Terms, you may terminate your DanceLib Account and agreement under these Terms by notifying us via email at quit@dancelib.com. If you decide not to continue using DanceLib Service and terminate your DanceLib Account due to dissatisfaction with the updated Terms, and you have purchased a licence for a Paid Plan from our reseller, you will be refunded the prorated portion of the licence price for any outstanding active licence period after such termination. 

13 Severability, No Waiver, No acquisition of rights

13.1 Should any provision of these Terms be held null and void, invalid or unenforceable for any reason or to any extent, it shall be replaced by a valid provision that suits the purpose of the affected provision and these Terms as a whole. Any such invalidity or unenforceability of specific provisions shall not affect the remaining provisions of these Terms that shall continue to be in full force and effect.

13.2 Any delay, failure or partial delay or failure by DanceLib to enforce these Terms or any provision thereof shall not waive DanceLib’s right to do so.

13.3 If you provide ideas, suggestions, or other feedback in connection with your use of the DanceLib Service or any Content (“Feedback“), such Feedback is not confidential and may be used by DanceLib without restriction and without payment to you.

14 Assignment

14.1 DanceLib may assign any or all of these Terms, and may assign or delegate, in whole or in part, any of its rights or obligations under these Terms. You may not assign these Terms, in whole or in part, nor transfer or sublicense your permissions or rights under these Terms to any third party.

15 Termination and Survival of Terms

15.1 Applicability of these Terms: These Terms will continue to apply to you until the agreement under these Terms is terminated by either you or DanceLib. 

15.2 Termination by You

15.2.1 You may terminate the Agreement in line with these Terms at any time by notifying us to quit@dancelib.com. 

15.2.2 In case of termination by you, you are only eligible for a refund if (a) you terminate the agreement because you were unable to use DanceLibService due to of our breach of these Terms; or (b) if so (and to the extent) expressly provided in these Terms.

15.2.3 If you eligible for a refund in line with these Terms (including this clause), you are only entitled to the pro-rata portion of refund for the period from the moment of your notice of termination, unless the applicable mandatory law requires otherwise. Such refund also encompasses the licence price if you have purchased a licence for Paid Plan from our reseller. Other than that, you agree that DanceLib shall have no other liability or responsibility to you unless expressly provided otherwise in these Terms.

15.3 If you have any questions or require any information on how to terminate your DanceLib Account, please contact us via email address quit@dancelib.com. 

15.4 Termination by DanceLib:

15.4.1 DanceLib may suspend or terminate the agreement under these Terms with or without cause. 

15.4.2 Suspension of termination for cause: DanceLib may terminate the agreement under these Terms or suspend your access to the DanceLibService at any time if we believe you have breached any of these Terms(including any terms, policies or guidance incorporated herein) or if we believe this is necessary to comply with the government, international organization’s other authority’s decision, document or act that requires to do so. 

15.4.3 Suspension of termination without cause: DanceLib may terminate the agreement under these Terms and your access to the DanceLib Service at any time if we stop providing the DanceLib Service or any part thereof or for any reason other than the grounds for suspension or termination for cause (including our discretion to do so without stating reasons).

15.4.4 In case of suspension or termination by DanceLib, you are only eligible for a refund if DanceLib terminated the agreement under these Terms without cause, in the pro-rata amount considering any remaining period of your active licence after the termination. If you eligible for a refund in line with these Terms (including this clause), you are only entitled to the pro-rata portion of refund for the period from the moment of our notice of termination (or for the period of suspension, if so applicable), unless the applicable mandatory law requires otherwise. Such refund also encompasses the licence price if you have purchased a licence for Paid Plan from our reseller. Other than that, you agree that DanceLib shall have no other liability or responsibility to you unless expressly provided otherwise in these Terms.

15.5 Survival of these Terms: In case of termination of the Agreement under these Terms, regardless of the party terminating it and regardless of the cause or nature of the termination, these Terms continue to apply in whole in relation to any matters (including, but not limited to disputes) arising out of your use of the DanceLib Service, Content, or any part thereof prior to the termination or in connection therewith, and continue to apply in any case with respect to the following sections: Section 5 (Use of DanceLib Service), Section 8 (Content and Intellectual Property), Section 10 (Limitation of Liability), Section 11(Indemnification), Section 13 (Severability, No Waiver, No acquisition of rights), Section 14 (Assignment), Section 16 (Governing Law and Dispute Resolution), as well as any other sections of these Terms that, either explicitly or by their nature, must remain in effect even after termination of these Terms.

16 Governing Law and Dispute Resolution

16.1 These Terms, including any additional terms, policies and guidelines incorporated herein, are governed by the laws of Switzerland, without regard to its conflict of law principles. 

16.2 DanceLib does not accept upfront any out-of-court consumer dispute settlement provider.

16.3 If you have a complaint that you consider may result in a dispute, please contact DanceLib Customer Service by the mailing address accounts@dancelib.com. We strive to resolve complaints and disagreements amicably.

16.4 In the event you and DanceLib could not resolve any disputes amicably, then any dispute, claim or controversy arising out of or in connection with these Terms (including any other terms, policies and/or guidelines incorporated herein), including and any non-contractual dispute or claim, will be resolved by the competent court in Geneve, Switzerland.

16.5 These provisions do not limit any mandatory laws that may be applicable.

17 Entire Agreement

17.1 The content of these Terms, including any terms, policies and guidelines incorporated herein, constitute the entire agreement between you and DanceLib and supersede any prior agreements, whether written or oral, in relation to the subject matter.
